Welcome to BlackDollar.Life our platform and our HBCU & Black Community Marketplace at www.BlackDollar.Life (our “Directory”). These Terms and Conditions (the “Terms”) constitute a legal agreement between you and BlackDollar.Life governing the use of our Directory and our Services. We license use of our Directory to you on the basis of these Terms. We do not sell our Directory to you, and we remain the owner of our Directory at all times.

3. TERMS OF USE

   1. The provisions set out in these Terms govern your access to and your use of our Directory and shall constitute a legally binding agreement between you and us. We may change such terms from time to time and shall notify you accordingly if we do. If you do not agree to such terms, you must not use our Directory.

   2. Subject to you agreeing to abide by these Terms, we hereby grant to you a revocable, non-exclusive and non-transferable license to use our Directory on these Terms.

   3. By registering for an Account, which involves providing us with certain mandatory and voluntary information as required for a successful registration and using our Directory, you agree and acknowledge that:

      1. you have read the terms set out in these Terms and agree to be bound by and comply with them;

      2. you are a Historically Black Colleges or Universities (“HBCU”) student (on campus only) or Alumni of HBCU or Member of HBCU 

      3. you meet the eligibility requirements for using the Directory, which are intended to be inclusive and non-discriminatory, and do not unlawfully discriminate against any protected classes under federal or state anti-discrimination laws

          

      4. you are at least 18 years old

      5. You are a resident or citizen of the United States.

      6. you shall ensure that all Users of your Account abide by these Terms.

   4. You are responsible for maintaining the confidentiality of your Account and you are responsible for all activities that occur under your Account. You agree that all actions carried out by any person through your Account shall be deemed to be an act carried out by you, and you shall ensure that all persons who have access to and use your Account are authorized to do so. We are not responsible for any loss, damage or liabilities arising as a result of or in connection with the wrongful, fraudulent or illegal use of your Account.

If you are using our Directory and Services on behalf of a company, organization, or other legal entity, you represent and warrant that you are authorized to do so and have the authority to bind such entity to these Terms, in which case the words “you” and “your” as used in these Terms shall refer to such entity.

We reserve the right to change, modify, suspend or discontinue any portion of the Services, our Directory or any other products, services, affiliated websites and/or other software provided by us in connection with any of the foregoing at any time. You agree that access to or operation of any of the foregoing may from time to time be interrupted or encounter technical difficulties.

   8. Save to the extent permitted by us in writing, you are not permitted to use, or submit any content to, our Directory or any of our affiliated websites to advertise, promote or market any products or services of any third party or yourself.

4. OUR DIRECTORY

   1. BlackDollar.Life merely provides the technical and organizational infrastructure to ensure the proper conduct of transactions on our Directory.

   2. BlackDollar.Life does not itself become a contracting party to the contracts concluded exclusively between the Users. Users themselves are responsible for compliance with legal requirements and the assertion of claims arising from the contracts they have concluded. In particular, BlackDollar.Life does not guarantee: i) the accuracy and completeness of the statements and declarations made in relation to the Services offered, ii) the Services offered as such; and iii) the conduct and performance of the relevant Users.

   3. The content published by the respective Users is generally not reviewed by BlackDollar.Life and does not represent the opinion of BlackDollar.Life. Subject to the forgoing, the service for Users is limited to giving them the opportunity to use and to facilitate our Directory. BlackDollar.Life assumes no liability for the content that Users provide, nor the ability to fulfill the requirements for a by the Users advertised service or also any information provided by the Users .

   4. BlackDollar.Life reserves the right to delete the Users’ profile in the case of false information and gross violations of these Terms without prior notification or naming of reasons. In the case of gross deception, falsification of documents or other wilful misrepresentation, BlackDollar.Life will take appropriate action, including legal action.

 

5. UPLOADING CONTENT TO OUR DIRECTORY

   1. You irrevocably and unconditionally represent and warrant that any of your content uploaded to our Directory complies with our Privacy Policy, Acceptable Use Policy, North Carolina’s statutory and common law privacy and personal data protection requirements and the EU's General Data Protection Regulation (“GDPR”) and any other applicable laws.

   2. You are fully responsible for your content uploaded to our Directory. We will not be responsible, or liable to any third party, for: i) the content or accuracy of any content or data uploaded by you, by us on your behalf, or any other user of our Directory; or ii) the loss of any content or data provided to us by you. You should keep a record of all such content and data.

   3. We will only use the content uploaded by you for the purposes of carrying out the Services, carrying out our obligations in this Agreement and any other purpose expressly set out in this Agreement or otherwise agreed between us. We will not otherwise disclose or distribute the content uploaded by you, save for when required by law, a court of competent jurisdiction or any governmental or regulatory authority.

   4. We may use the content uploaded by you for the purpose of data analytics or to implement artificial intelligence or machine learning. Any such content shall be anonymized and used only for the purposes of improving the Services and our response to users of the Directory.

   5. We have the right to disclose your identity to any third party claiming that any content posted or uploaded by you to our Directory constitutes a violation of their rights under applicable law.

   6. We have the right to delete any content uploaded to our Directory if, in our opinion, it does not comply with the content standards set out in our Acceptable Use Policy.

 

6. ACCEPTABLE USE POLICY

   1. You may use our Directory only for lawful purposes. You may not use our Directory:

      1. in any way that breaches any applicable local or international laws or regulations;

      2. in any way that is unlawful or fraudulent, or has any unlawful or fraudulent purpose or effect;

      3. to send, knowingly receive, upload, download, use or re-use any material which does not comply with our content standards as set out in our prevailing terms and conditions as amended from time to time; and

      4. to knowingly transmit any data, send or upload any material that contains viruses, Trojan horses, worms, time-bombs, keystroke loggers, spyware, adware or any other harmful programs or similar computer code designed to adversely affect the operation of any computer software or hardware.

   2. You also agree:

      1. not to reproduce, duplicate, copy or re-sell any part of our Directory in contravention of the provisions of our Terms; and

      2. not to access without authority, interfere with, damage or disrupt:

      3. any part of our Directory;

      4. any equipment or network on which our Directory is stored;

      5. any software used in the provision of our Directory; or

      6. any equipment or network or software owned or used by any third party.

   3. Except as expressly set out in this Agreement or as permitted by any applicable law, you undertake:

      1. save for internal distribution amongst your employees and persons authorized by you for your internal business purposes, and any other purposes contemplated under these Terms or the Directory, not to reproduce, copy, modify, adapt, translate, publish, display, communicate, transmit, sell, exploit or use the whole or any part of any Service, our Directory or any of the contents therein for any commercial or other purposes;

      2. not to disassemble, decompile, reverse-engineer or create derivative works based on the whole or any part of the source code of our Directory nor attempt to do any such thing, or to reproduce, display or otherwise provide access to the Services, our Directory or any of the contents therein, including but not limited to framing, mirroring, linking, spidering, scraping or any other technological means;

      3. not to provide or otherwise make available our Directory in whole or in part (including but not limited to program listings, object and source program listings, object code and source code), in any form to any person without prior written consent from us;

      4. to include our copyright notice on all entire and partial copies you make of our Directory on any medium;

      5. to comply with all applicable technology control or export laws and regulations; and

      6. not to disrupt, disable, or otherwise impair the proper working of the Services, our Directory or our servers, such as through hacking, cyber-attacks (including but not limited to denial-of-service attacks), tampering or reprogramming.

      7. We operate a safe space for people to engage, learn, share, and network. We operate a zero-tolerance policy with regards to the abuse of our service users or staff. Personal or targeted insults, threats, obscene and aggressive comments directed at other service users or at staff will not be tolerated. Users who persist in engaging in this way may be excluded from our services. Please report any abusive posts or incidences of cyber-bullying to our admin.

 

7. DONATION SPECIFIC TERMS

   1. By making a donation to BlackDollar.Life, you as a user (hereinafter referred to as donor) agree to the following additional terms and conditions.

   2. Validity. These Terms apply to all donations within the scope of BlackDollar.Life’ activity and irrespective of the classification under contract law. They also apply to all future donations without the need for explicit acceptance. These Terms shall be deemed accepted at the latest with your first donation. These Terms as well as all further amendments are available online on the BlackDollar.Life website and apply exclusively. BlackDollar.Life reserves the right to amend these Terms in any form at any time, without further notice and at its own discretion. Notification of changes at this point is recognised by the donor as sufficient notice.

   3. Scope. The donor turns his/her donation over to BlackDollar.Life, which first adds it to its assets and then allocates it to the development of its cause. The purpose of the donation is fulfilled by BlackDollar.Life by using the funds received within the framework of BlackDollar.Life’ own purposes. There is no legal claim on the part of the donor, or the favored part of the BlackDollar.Life cause. The donor agrees to the transmission of the data required for the transfer of the donation to the implementing banks or to the transmission of the data required for the implementation of the donation.

   4. Donors Responsibilities. By donating to BlackDollar.Life you agree to provide true, accurate and up-to-date information about yourself as specified in the donation form. If it becomes known that any of the information you provide is untrue, inaccurate, outdated, or incomplete, the BlackDollar.Life reserves the right not to accept you as a donor in the future and to take other legal action if necessary. Donors undertake to comply with all applicable legal provisions when donating in order to prevent unlawful use. Furthermore, donors undertake to assume sole responsibility for compliance with such legal provisions.

 

8. INTELLECTUAL PROPERTY RIGHTS

   1. You acknowledge that all intellectual property rights in our Directory anywhere in the world belong to us, that rights in our Directory are licensed (not sold) to you, and that you have no rights in, or to, our Directory other than the right to use them in accordance with these Terms.

   2. Any intellectual property rights in content uploaded by you to our Directory shall continue to belong to you or their respective owners. You agree that you grant us a royalty-free and non-exclusive license to use, reproduce, publish and display such intellectual property rights for the purposes of performing the Services, promotional purposes, internal administrative purposes and any other purposes set out in these Terms, including for the purpose of improving the Services and our responses to users of the Directory.

   3. You acknowledge that you have no right to have access to our Directory in source code form.

   4. You represent and warrant that you have all necessary rights to upload and share any content on the Directory, and that such content does not infringe any third-party intellectual property rights, violate any applicable laws, or breach any contractual obligations;

   5. Save for internal distribution amongst your employees and persons authorized by you for your internal business purposes and any other purposes contemplated under these Terms or the Directory, you must not modify the paper or digital copies of any materials you have printed off or downloaded from our Directory in any way and you must not use any illustrations, photographs, video or audio sequences or any graphics separately from any accompanying text.

   6. You must not use any part of the content on our Directory for commercial purposes not specified on our Directory without obtaining a license to do so from us or our licensors.

   7. If you print off, copy or download any content on our Directory in breach of this Agreement, your right to use our Directory will cease immediately and you must, at our option, return or destroy any copies of the materials you have made.

 

9. WARRANTIES

   1. While we make all efforts to maintain the accuracy of the information on our Directory, we provide the Services, Directory and all related content on an “as is” and “as available” basis, unless otherwise specified in writing. We make no representations or warranties of any kind, express or implied, as to the operation of any of the foregoing, unless otherwise specified in writing.

   2. To the full extent permissible by law, we disclaim all warranties, express or implied, relating to our Directory or any Services, including but not limited to implied warranties of merchantability and fitness for a particular purpose. We do not warrant that the Services, our Directory, the related content, or electronic communications sent by us are free of viruses or other harmful components.

   3. You agree that your use of the Directory is at your sole risk. You will not hold BlackDollar.Life or its third-party service providers, licensors or suppliers, as applicable, responsible for any loss or damage that results from your access to or use of the Directory , including without limitation any loss or damage to any of your computers or data.

 

10. TECHNICAL REQUIREMENTS AND RESPONSIBILITY

    1. Users are responsible for ensuring that the technical requirements for access to and use of the respective services are met.

    2. This applies in particular to the hardware and operating system software used, the connection to the Internet, the firewall settings (if any) and the current browser software.

    3. The User shall carry out necessary and reasonable adjustment measures himself/herself and shall bear the costs for the Internet connection in order to be able to access the services.

    4. BlackDollar.Life does not guarantee that the services offered can actually be used with the User's device.

 

11. LIMITATION OF LIABILITY

    1. We are not liable for the completeness, accuracy or correctness of any information uploaded on our Directory and any related content. You expressly agree that your use of the Services and our Directory, including reliance on any Third-Party Advice, is at your sole risk.

    2. To the fullest extent permitted by applicable law, we are not liable for the completeness, accuracy, or correctness of any information uploaded on our Directory and any related content.

    3. You agree not to use the Services, our Directory and the related content for any resale purposes, and we have no liability to you, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, arising under or in connection with these Terms (including but not limited to the use of, or inability to use, the Services, our Directory or any other website or software) for:

       1. loss of profits, sales, business, or revenue;

       2. business interruption;

       3. loss of anticipated savings;

       4. loss or corruption of data or information;

       5. loss of business opportunity, goodwill or reputation; or

       6. any other indirect or consequential loss or damage.

    4. Nothing in these Terms shall limit or exclude our liability for:

       1. death or personal injury resulting from our negligence;

       2. fraud; and/or

       3. any other matter in respect of which we are prohibited under applicable law from limiting or excluding our liability.

    5. These Terms set out the full extent of our obligations and liabilities in respect of the supply of the Services and our Directory. Except as expressly stated in these Terms, there are no conditions, warranties, representations or other terms, express or implied, that are binding on us. Any condition, warranty, representation or other term concerning the supply of the Services and our Directory which might otherwise be implied into, or incorporated in, these Terms whether by statute, common law or otherwise, is excluded to the fullest extent permitted by law.

 

12. INDEMNITY

12.1. You agree to indemnify and hold us, our related corporations and our respective directors, officers, employees, agents and representatives, independent contractors, licensees, successors and assigns harmless from and against all claims, losses, expenses, damages and costs (including but not limited to direct, incidental, consequential, exemplary and indirect damages), and reasonable legal fees, resulting from or arising out of your act, default or omission, whether in your use of our Directory, Services, and/or any websites or software in relation thereto or otherwise, and whether in respect of your breach of these Terms or any laws or regulations or otherwise.

12.2. You agree to indemnify and hold us, our related corporations, and our respective directors, officers, employees, agents, representatives, independent contractors, licensees, successors, and assigns harmless from and against all claims, losses, expenses, damages, and costs (including but not limited to direct, incidental, consequential, exemplary, and indirect damages), and reasonable legal fees, resulting from or arising out of (i) your breach of these Terms, (ii) your violation of any applicable laws or regulations, or (iii) your infringement of any third-party rights.

 

13. BINDING ARBITRATION

    1. If we are unable to resolve a Dispute through informal negotiations, the Dispute (except those Disputes expressly excluded below) will be finally and exclusively resolved by binding arbitration in Charlotte, North Carolina. YOU UNDERSTAND THAT WITHOUT THIS PROVISION, YOU WOULD HAVE THE RIGHT TO SUE IN COURT AND HAVE A JURY TRIAL.

    2. The arbitration shall be commenced and conducted under the Commercial Arbitration Rules of the American Arbitration Association ("AAA") and, where appropriate, the AAA’s Supplementary Procedures for Consumer Related Disputes ("AAA Consumer Rules"), both of which are available at the AAA Website www.adr.org.

    3. Your arbitration fees and your share of arbitrator compensation shall be governed by the AAA Consumer Rules and, where appropriate, limited by the AAA Consumer Rules.

    4. The arbitration may be conducted in person, through the submission of documents, by phone, or online. The arbitrator will make a decision in writing but need not provide a statement of reasons unless requested by either Party.

    5. The arbitrator must follow applicable law, and any award may be challenged if the arbitrator fails to do so. Except where otherwise required by the applicable AAA rules or applicable law.

    6. In the event of any dispute, claim, or legal action arising out of or relating to these Terms or your use of the Directory, the company shall be entitled to recover its reasonable attorneys' fees, costs, and expenses incurred in connection with such dispute, claim, or legal action, regardless of whether the company prevails. If the company prevails in any such dispute, claim, or legal action, you shall be responsible for all reasonable attorneys' fees, costs, and expenses incurred by the company in connection with the dispute, claim, or legal action, including any appeals. If you prevail in any such dispute, claim, or legal action, each party shall bear its own attorneys' fees, costs, and expenses, and you shall not be entitled to recover any attorneys' fees, costs, or expenses from the company

 

14. CLASS ACTION WAIVER

The parties agree that (i) no arbitration proceeding hereunder whether a consumer dispute or a business dispute shall be certified as a class action or proceed as a class action, or on a basis involving claims brought in a purported representative capacity on behalf of the general public, other customers or potential customers or persons similarly situated, and (ii) no arbitration proceeding hereunder shall be consolidated with, or joined in any way with, any other arbitration proceeding. The parties agree to arbitrate a consumer dispute or business dispute on an individual basis, and each waives the right to participate in a class action.

 

15. WAIVER OF JURY TRIAL

Each of the parties hereto hereby irrevocably waives any and all right to trial by jury in any legal proceeding arising out of or related to this agreement or the transactions contemplated hereby.

 

16. CALIFORNIA USERS AND RESIDENTS

If any complaint with us is not satisfactorily resolved, you can contact the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs in writing at 1625 North Market Blvd., Suite N 112, Sacramento, California 95834 or by telephone at (800) 952-5210 or (916) 445-1254.

 

17. EUROPEAN ONLINE DISPUTE RESOLUTION

The European Commission provides an Online Dispute Resolution (OS) platform, which can be found at http://ec.europa.eu/consumers/odr/.

 

18. ELECTRONIC COMMUNICATIONS, TRANSACTIONS, AND SIGNATURES

    1. Visiting the website, sending us emails, and completing online forms constitute electronic communications. You consent to receive electronic communications, and you agree that all agreements, notices, disclosures, and other communications we provide to you electronically, via email and on the website, satisfy any legal requirement that such communication be in writing.

    2. You hereby agree to the use of electronic signatures, contracts, orders, and other records, and to electronic delivery of notices, policies, and records of transactions initiated or completed by us or via the website. You hereby waive any rights or requirements under any statutes, regulations, rules, ordinances, or other laws in any jurisdiction which require an original signature or delivery or retention of non-electronic records, or to payments or the granting of credits by any means other than electronic means.

 

19. Token

    1. The Directory provides you an opportunity to purchase tokens, which you may use for posting ads. You acknowledge that the tokens cannot be exchanged for currency. BlackDollar.Life is not obligated to give you currency for tokens. Instead, you can use the tokens for services within the Directory.

    2. You further acknowledge that the BlackDollar.Life reserves the right to confiscate any and all tokens in the event you participate in hacking, fraud, theft or breach these Terms and Conditions. We will also confiscate tokens if the coins were hacked or were obtained by fraud.

    3. Further, in the event there is system failure that either grants or subtracts tokens, the BlackDollar.Life will review the case and make a determination that will favor the BlackDollar.Life.

 

 

20. Termination

    1. We may terminate or suspend Your Account immediately, without prior notice or liability, for any reason whatsoever, including without limitation if You breach these Terms and Conditions.

    2. Upon termination, Your right to use the Directory will cease immediately. If You wish to terminate Your Account, You may simply discontinue using the Directory .

    3. We reserve the right to terminate or suspend your account at any time, with or without notice, for any reason, including but not limited to violation of these Terms, illegal or improper use of the Directory, or any other reason as determined by us in our sole discretion.

 

 

 

21. OTHER IMPORTANT TERMS

    1. We may transfer our rights and obligations under these Terms to another organization, but this will not affect your rights or obligations under these Terms.

    2. You may only transfer your rights or your obligations under these Terms to another person if we agree in writing.

    3. No joint venture, partnership or agency or employment relationship has arisen by reason of these Terms.

    4. These Terms and any document expressly referred to in it constitutes the entire agreement between us.

    5. If we fail to insist that you perform any of your obligations under these Terms, or if we do not enforce our rights against you, or if we delay in doing so, that will not mean that we have waived our rights against you and will not mean that you do not have to comply with those obligations. If we do waive a default by you, we will only do so in writing, and that will not mean that we will automatically waive any later default by you.

    6. Each of the conditions of these Terms operates separately. If any court or competent authority decides that any of them are unlawful or unenforceable, the remaining conditions will remain in full force and effect.

    7. These Terms shall be governed by and construed in accordance with the laws of the state of North Carolina, without regard to its choice of law provisions. Any legal suit, action, or proceeding arising out of or related to these Terms or the Directory shall be instituted exclusively in the federal or state courts of Charlotte, North Carolina, and you consent to the personal jurisdiction of such courts.
